Affiliate Program Terms and Conditions

1. Overview
These Affiliate Program Terms and Conditions ("Affiliate Terms") govern your participation in the FieldWorks Affiliate Program operated by Ontario Engineering Solutions Inc. ("OES," "we," "us," or "our"). By applying to and participating in the Affiliate Program, you agree to be bound by these Affiliate Terms in addition to the FieldWorks Terms of Service and Privacy Policy.
These Affiliate Terms replace any prior version in full. Your continued participation after the Last Updated date above constitutes acceptance of the current terms.
2. Commission Structure
As an approved affiliate, you will earn a commission on subscription fees actually collected by FieldWorks from users attributed to you. The default commission rate is twenty percent (20%) of collected subscription fees.
Commission is paid on an ongoing basis for as long as the referred user remains a paying subscriber. There is no fixed attribution window: if a referred user stays subscribed for ten years, you continue to earn commission on fees collected for ten years, subject to these Affiliate Terms and your continued good standing in the Program.
Commission is only earned on amounts FieldWorks actually collects and retains. No commission accrues on:
- Free trials, unpaid invoices, chargebacks, refunds, or disputed amounts
- Taxes, currency-conversion fees, or payment-processor fees
- Subscription credits, discounts, promotional pricing, or account adjustments
- Any amount that is later refunded, reversed, or written off for any reason — if commission was previously credited for such an amount, OES may deduct the corresponding amount from future commission owed
OES may adjust your commission rate at any time for future collected revenue, on written notice sent to the email address associated with your affiliate account. Past-earned commission (already credited in a prior period) is not affected by a rate change.
3. Referral Attribution
Attribution is determined by last-click tracking. When a prospective user clicks your unique affiliate link, FieldWorks sets one or more first-party cookies (currently fw_ref and fw_ref_slug) in their browser and writes a server-side click record that is independent of any cookie. If that user creates a new FieldWorks account while the referral signal is active — whether from the cookie, a fallback slug cookie, or a matching server-side click record — they are attributed to you. Once a user is attributed, that attribution does not change.
Attribution is only recorded for genuinely new accounts. If a prospective user already has a FieldWorks account and clicks your referral link by mistake, no attribution is created and no commission accrues. Commission only flows from brand-new sign-ups.
3.1 Last-click wins; earlier clicks are overwritten
If a prospective user clicks affiliate links from multiple affiliates before creating an account, only the most recent click counts. Every click on /r/<slug> unconditionally replaces any prior referral cookie and slug cookie on that browser. For example:
- User clicks Affiliate A's link on day 1 →
fw_ref/fw_ref_slugpoint to Affiliate A. - User clicks Affiliate B's link on day 8 → those same cookies are overwritten and now point to Affiliate B.
- User signs up on day 10 → the account is attributed to Affiliate B.
Referral cookies have a 60-day rolling lifetime: each click resets the expiry. If no further clicks occur and the user does not sign up within 60 days of the last click, the attribution signal lapses.
You acknowledge and agree that (i) you have no claim against OES or against any other affiliate if a prospective user clicks your link but a different affiliate's link is the last one clicked before signup, and (ii) earlier clicks confer no priority, no partial credit, and no revenue share. The affiliate associated with the last click is the sole commission recipient for that user.
3.2 Tracking limitations and no warranty of attribution
You acknowledge and agree that referral tracking is inherently imperfect and depends on factors outside OES's control, including but not limited to:
- The user's browser settings, privacy mode, or cookie-blocking extensions
- Cookie expiration, clearing, or rejection by the user's browser or device
- Cross-device and cross-browser behaviour (clicking on one device, signing up on another)
- Ad blockers, tracking-protection software, VPNs, and anti-fingerprinting tools
- Evolving browser vendor policies that restrict cookies and local storage
- Network, DNS, CDN, or infrastructure interruptions
- Legal or regulatory requirements (e.g. user consent requirements under applicable privacy laws)
- Bugs, defects, or outages in the FieldWorks platform or its dependencies
- Users who already have a FieldWorks account (attribution is only ever created for brand-new sign-ups)
FieldWorks uses a layered system — an httpOnly cookie, a secondary slug cookie, and a server-side click log — to make attribution as robust as is reasonably practical, but none of these mechanisms is guaranteed.
OES makes no representation, warranty, or guarantee that every user who clicks your affiliate link will be captured, attributed to you, or result in a commissioning event. You acknowledge that some percentage of referrals will not be tracked and will not result in commission. OES is not liable for any lost commission, lost opportunity, or any other damages arising from tracking failures, missed attributions, or any other limitation of the referral system.
You agree that FieldWorks's internal attribution records are the sole and final authority for determining whether a user is attributed to you. You will not bring claims based on external tracking, third-party analytics, or your own records. Disputes about attribution must be raised in writing within thirty (30) days of the disputed referral; otherwise they are waived.
3.3 Prohibited attribution methods
You may not attempt to self-refer, refer immediate family or household members, or refer businesses or accounts you own or control. You may not use automation, incentive programs, forced clicks, cookie-stuffing, iframes, typosquatting, trademark bidding on "FieldWorks" or confusingly similar terms, or any other technique designed to manipulate attribution. Suspected abuse will result in immediate termination and forfeiture of any unpaid commission balance.
4. Payment Terms
Affiliate commission payments are made bi-annually on or around the following schedule:
- June 1 — covering commission earned December 1 through May 31 of the prior period
- December 1 — covering commission earned June 1 through November 30
Payments are made via Interac e-Transfer to the email address you provide in your application. You are solely responsible for keeping that address current and able to receive funds. Payments returned, unclaimed, or bounced are held without interest and will be retried on the next scheduled payment date; OES is not responsible for fees, taxes, or losses incurred due to outdated or incorrect payment details.
A minimum balance of $50.00 CAD is required for payout. If your balance is under $50.00 at a scheduled payment date, it carries forward to the next period.
Commission is paid in Canadian dollars. You are solely responsible for any taxes, levies, or reporting obligations owed on commission earned, including GST/HST where applicable. OES may request a W-8BEN, tax-residency declaration, or similar documentation before making payments, and may withhold payments until requested documentation is received.
5. Affiliate Conduct
As a FieldWorks affiliate, you agree to the following:
- No misrepresentation. You must not make false, misleading, or exaggerated claims about FieldWorks, its features, pricing, availability, security, or capabilities.
- No unauthorized discounts. You are not authorized to offer discounts, promotional pricing, refunds, or special deals on behalf of FieldWorks unless expressly authorized in writing by OES.
- Disclosure required. You must clearly disclose your affiliate relationship with FieldWorks in any public posts, reviews, articles, videos, or promotional content, in compliance with applicable advertising and disclosure regulations (including FTC, Competition Act, and Canadian Radio-television and Telecommunications Commission guidance where applicable).
- No spam or unsolicited communications. You must not use unsolicited email, SMS, messaging platforms, or other spam techniques to promote your affiliate link. You must comply with CASL, CAN-SPAM, GDPR, and any other applicable communications or privacy laws.
- No paid search on FieldWorks brand terms. You may not bid on "FieldWorks," "FieldWorksHQ," "Ontario Engineering Solutions," or confusingly similar terms (including misspellings) in paid search, display, or social advertising.
- No trademark, logo, or identity misuse. You may not imply that you are an employee, agent, reseller, or official partner of FieldWorks, and you may not register domains, social handles, or app-store listings using FieldWorks trademarks.
- Comply with applicable law. You are responsible for ensuring that your promotional activities comply with all applicable laws, including consumer-protection, advertising, privacy, and tax laws.
6. Termination
OES may suspend, pause, or terminate your participation in the Affiliate Program at any time, for any reason or for no reason, with or without notice, and in its sole discretion. No cause is required and no prior notice is owed.
Upon termination:
- Your affiliate link, cookie token, and referral code are immediately deactivated and will no longer generate new attributions.
- Outstanding commission balance that has already accrued on collected revenue will, at OES's discretion, be paid in the next scheduled payment cycle subject to the $50.00 minimum payout threshold — except in cases of suspected fraud, breach of these Affiliate Terms, chargebacks initiated by referred users, or legal constraints, in which case OES may forfeit, withhold, or offset any or all unpaid commission.
- After termination, you will earn no further commission on any new or ongoing subscription fees, including from previously-attributed users, regardless of how long those users remain subscribed.
- You must immediately stop using the FieldWorks name, marks, and any promotional materials we provided. If OES requests in writing, you must remove or take down references to the Affiliate Program in your public-facing content.
You may also voluntarily withdraw from the Affiliate Program at any time by contacting us at support@fieldworkshq.com. Voluntary withdrawal is treated as termination under this section.
7. Modifications
OES may modify these Affiliate Terms at any time in its sole discretion. Material changes will be posted with an updated "Last Updated" date at the top of this document and/or sent to the email address associated with your affiliate account. Your continued participation in the Program after the effective date of any modification constitutes acceptance. If you do not agree to the modified terms, your sole remedy is to withdraw from the Program.
8. Independent Contractor; No Agency
You participate in the Affiliate Program as an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, agency, franchise, or fiduciary relationship between you and OES. You have no authority to bind OES, make representations on its behalf, or enter into contracts for it. You are solely responsible for your own business expenses, taxes, and compliance obligations.
9. Limitation of Liability; No Warranty
The Affiliate Program, affiliate links, tracking infrastructure, dashboards, and reporting are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, non-infringement, or uninterrupted service.
Without limiting the foregoing, OES specifically disclaims any warranty or guarantee regarding:
- The volume, frequency, or quality of clicks, referrals, signups, conversions, or commission earnings
- The accuracy or completeness of cookie-based tracking or attribution
- The operation, uptime, or performance of the Affiliate Program or the FieldWorks platform
- The preservation or retention of tracking cookies, attribution records, or session state
- The continued availability or pricing of any FieldWorks tool, product, or subscription plan
You expressly waive any and all claims arising from, or in any way related to, tracking failures, lost attribution, missed conversions, incorrect revenue reporting, commission adjustments tied to refunds or reversals, Program termination, or changes to commission rates.
To the maximum extent permitted by law, in no event will OES, its directors, officers, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or anticipated commission, arising out of or in connection with the Affiliate Program, even if advised of the possibility of such damages. OES's total aggregate liability to you under these Affiliate Terms, for any and all claims and causes of action, shall not exceed the greater of (a) the total commission payments actually made to you in the six (6) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars ($100 CAD).
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. If any provision of this Section is held unenforceable in such a jurisdiction, it will apply to the maximum extent permitted.
10. Indemnification
You will defend, indemnify, and hold harmless OES and its directors, officers, employees, and contractors from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising from (i) your participation in the Affiliate Program, (ii) your promotional content, statements, or representations, (iii) your breach of these Affiliate Terms, (iv) your violation of any law, regulation, or third-party right, or (v) any content you publish about FieldWorks.
11. Governing Law; Dispute Resolution
These Affiliate Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Affiliate Terms will be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, each party waives any right to a jury trial and the right to participate in a class action.
12. Entire Agreement; Severability; No Waiver
These Affiliate Terms, together with the FieldWorks Terms of Service and Privacy Policy, constitute the entire agreement between you and OES with respect to the Affiliate Program and supersede all prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. OES's failure to enforce any provision is not a waiver of its right to do so later.
